CSR Policy

  1. CONTEXT

    NETRACK ENCLOSURES PRIVATE LIMITED (“Netrack” or “the Company”) aims to be one of the most respected Companies in India delivering superior and sustainable value to all its customers, business partners, shareholders, employees and host communities. Our focus is always been to contribute to the sustainable development of the society, environment and to make our planet a better place to live in for future generations.

  2. OBJECTIVES:

    Our CSR policy mainly intends to

    • uphold and promote the principles of inclusive growth and equitable development;
    • develop community development programmes and measure its effectiveness;
    • work actively in areas of rural development;
    • collaborate with likeminded bodies like Governments, voluntary organizations and academic institutes in pursuit of our goals;
    • interact regularly with stakeholders, review and publicly report our CSR activities;
  3. FOCUS AREAS:

    Our main focus is on sustainable development and to undertake projects which is in accordance with Schedule VII of Companies Act, 2013 as amended from time to time.

  4. LOCATION OF CSR ACTIVITIES:

    The location of the activities would be primarily the rural area situated near the registered office of our Company i.e., local area. The Board shall further decide upon any other locality for implementing its activities.

  5. COMPOSITION OF CSR COMMITTEE:

    The Company’s obligation of spending on CSR activities does not exceed fifty lakhs at present. The Board shall collectively discharge the functions that may arise. Hence, forming of committee is not applicable. The Company shall constitute a CSR committee, once the required threshold is met by the Company.

  6. RESPONSIBILITIES OF THE BOARD:

    The responsibility shall include:

    • Formulating and recommending CSR policy and indicating the activities to be done;
    • Recommending amount of expenditure for the CSR activities
    • Monitoring the CSR activities from time to time;
  7. GOVERNANCE:

    The CSR activities will be governed by the Board of Directors of the Company.

  8. SELECTION & REPORTING:

    The proposal of the activities to be undertaken for the applicable financial Year will be listed out by the Board at their meetings. The budget will be allocated based on the proposed activities and the requisite approval will be obtained upfront from the Board. CSR activities’ status will be presented to the Board of Directors by the authorized persons on periodic basis.

  9. DISCLOSURES:

    The Board shall disclose the activities of CSR containing the particulars as specified in Annexure as per Companies (Corporate Social Responsibility) Amendment Rules, 2014 as amended from time to time.

  10. EFFECTIVE DATE:

    This policy shall be effective from December 29, 2020

  11. UNDERTAKINGS:

    Our Company will undertake its CSR activities, as approved by the Board from time to time. The surplus arising out of the CSR activities, projects or programs shall not form part of the business profit of the Company.
